Any projections, estimates, or examples we share during proposals or consultations are based on our professional assessment and should be understood as illustrative, not as commitments or guarantees of performance.
Successful digital marketing is a collaborative effort. As our client, you agree to:
Delays in providing required information, feedback, approvals, or access may affect project timelines and campaign performance. We will communicate any such delays and their potential impact as early as possible.
Work product created by Market Ranna specifically for a client — including but not limited to ad copy, website designs, graphics, written content, campaign structures, and reports — becomes the client's intellectual property upon full and complete payment of all associated invoices.
Market Ranna retains the right to use anonymised, non-confidential elements of the work (such as design style, general approach descriptions, or anonymised performance metrics) for portfolio, case study, and promotional purposes, unless the client explicitly opts out of this in writing.
Any pre-existing tools, frameworks, templates, or methodologies owned by Market Ranna that are used in delivering the services remain the intellectual property of Market Ranna.
Payment terms — including pricing, payment schedules, accepted payment methods, and due dates — are specified in each individual service agreement or proposal. Unless otherwise stated:
All fees are exclusive of applicable taxes (including GST) unless explicitly stated otherwise. Any third-party costs (such as advertising spend, stock photography licenses, domain registrations, or hosting fees) are billed separately from our service fees and are the client's responsibility.
Both Market Ranna and the client agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial data, customer information, campaign data, login credentials, and any other information that either party identifies as confidential.
This confidentiality obligation applies during the engagement and continues indefinitely after the engagement ends. Neither party will disclose the other party's confidential information to any third party without prior written consent, except as required by law.
Our services frequently involve working with third-party platforms such as Google (including Google Ads, Google Analytics, and Google Search Console), Meta (Facebook and Instagram), LinkedIn, Twitter/X, YouTube, and various other tools and services. Market Ranna is not affiliated with, endorsed by, or officially associated with any of these platforms. We are a fully independent agency.
These platforms have their own terms of service, privacy policies, and operational guidelines that are outside our control. Changes made by these platforms — including policy changes, algorithm updates, feature modifications, or account suspensions — may affect campaign performance, and Market Ranna cannot be held responsible for such changes.
To the maximum extent permitted by applicable law, Market Ranna's total aggregate liability for any and all claims arising out of or relating to our services shall not exceed the total fees paid by the client to Market Ranna for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
In no event shall Market Ranna be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill — arising from or related to our services, even if we have been advised of the possibility of such damages.
Either party may terminate an engagement by providing written notice (via email or letter) as specified in the relevant service agreement. In the absence of specific termination provisions in the agreement:
Upon termination, the client will be billed for all work completed up to the effective termination date, plus any pre-approved third-party costs already incurred. We will provide a transition handover including access to all accounts, assets, and deliverables that belong to the client.

In the event of any dispute arising from or relating to these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the dispute shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on this page with a revised "Last Updated" date. Continued use of the Website or our services after any such changes constitutes your acceptance of the revised Terms.
